P5 Chauffeurs

Referral Partner Agreement

Draft template — not yet reviewed by a solicitor. This is a starting point covering the standard clauses a referral-partner agreement needs. Have a solicitor review it before relying on it or asking a partner to sign it.

Draft version: v1 — August 2026

This agreement is between P5 Chauffeur’s Ltd (company no. 17017342), “the Company”, and the hotel, concierge service, travel agency, or other business that signs up as a referral partner, “the Partner”. It sets out the terms on which the Partner refers customers to the Company and earns commission on completed bookings.

1. What this covers

The Partner may refer its own customers, guests, or clients to the Company for chauffeur and airport-transfer services, using the Partner’s unique referral code (issued in the partner portal on sign-up). This is a non-exclusive arrangement — nothing here prevents the Partner from also recommending other transport providers, or the Company from working with other partners.

2. Commission

The Company pays the Partner commission on completed (not cancelled) bookings made using the Partner’s referral code, at the percentage rate shown in the Partner’s own portal at the time of booking. Commission is calculated on the fare actually paid, excluding any tolls, gratuities, or ad-hoc charges passed through to the customer. The Partner can see referrals and commission owed at any time in their portal; payment terms and frequency are as stated there.

3. How referrals work

A booking counts as referred when made using the Partner’s referral code or a link containing it. The Company’s system of record for whether a referral occurred, and for the commission earned, is final absent an obvious error.

4. Representing the Company

The Partner may describe itself as a referral partner of P5 Chauffeurs and may use materials the Company provides for this purpose, but may not represent itself as an agent, employee, or franchisee of the Company, and may not make commitments (pricing, availability, service standards) on the Company’s behalf beyond what the Company has published.

5. Data protection

Where the Partner passes a customer’s contact details to the Company as part of a referral or booking request, both parties must handle that data in accordance with UK GDPR. The Company’s own handling of customer data is set out in its Privacy Policy.

6. Confidentiality

Commission rates, referral volumes, and any other non-public business information shared between the parties should be kept confidential and not disclosed to a competing transport provider.

7. Term & termination

This agreement runs until either party ends it by giving the other reasonable written notice. Commission already earned on completed bookings at the point of termination remains payable. The Company may end this agreement immediately if the Partner misrepresents the Company, provides false referral information, or breaches clause 4 or 6.

8. Liability

The Company’s liability under this agreement is limited to commission properly owed under clause 2. Neither party is liable for indirect or consequential losses.

9. Whole agreement & law

This agreement, together with the Company’s Terms & Conditions and Privacy Policy, represents the whole agreement between the parties regarding the referral relationship, and is governed by the law of England & Wales.

By registering as a referral partner, the Partner confirms they have read, understood, and agree to this agreement.
